Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or your use of the Site, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to mediation under the Swiss Rules of Commercial Mediation of the Swiss Chambers' Arbitration Institution. If mediation is unsuccessful, either party may proceed to litigation in accordance with the governing law provision below.

Governing Law

These Terms are governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict-of-law provisions. Any legal proceedings relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Vaud, Switzerland. You irrevocably submit to the jurisdiction of such courts and waive any objection to proceedings in such courts on the basis of venue or inconvenient forum.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer, and Editorial Policy, constitute the entire agreement between you and Zug DAO with respect to your use of the Site and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

Dispute Resolution

Parties agree to first attempt good-faith negotiation. If unresolved within thirty days, disputes shall be submitted to binding arbitration under the Swiss Rules of International Arbitration, seated in Lausanne, conducted in English.

Modification of Terms

We may modify these Terms at our discretion. Material changes will be notified with thirty days' notice where possible. Continued use after changes constitutes acceptance.

Severability

If any provision is held unenforceable, it will be modified to achieve its objectives to the greatest extent possible, and remaining provisions continue in full effect.
